Mr. Liu has many years of experience in the operation of sales. Jiao Ruifang, Chinese nationality, female, aged 30, graduated from the Harbin University of Technology (哈尔滨理工大学) with a degree of Bachelor of Economics, and is a senior project manager. 3 ― Opinion of Independent Directors Pursuant to the relevant requirements of Guidance Opinions regarding the Establishment of the System of Independent Directors ( 《关於在上市公司建立独立董事制度的指导意见》 ) and the Articles of Association of the Company, we, as the independent directors of Beiren Printing Machinery Holdings Limited, express our independent opinion on the consideration of the Resolution regarding the appointment of Deputy General Managers and the Secretary to the Board of Directors at the Meeting as follows: After reviewing the biographies of Mr. Kong Dagang, Mr. Liu Jing and Ms. Jiao Ruifang, we consider that the above persons meet the qualification for appointment of senior management of the Company. There exists no circumstance as stipulated in Section

147 of the existing Company Laws and nor are they persons who are prohibited from entry into the market and has not yet released the prohibition as confirmed by the China Securities Regulatory Commission, and the procedure of nomination is in compliance with the Articles of Association of the Company. On the basis of the above-mentioned, we agreed with the appointment of Mr. Kong Dagang and Mr. Liu Jing as the Deputy General Managers of the Company and the appointment of Ms. Jiao Ruifang as the Secretary to the Board of Directors.
