s Republic of China with limited liability) (Stock Code: 1272) ANNOUNCEMENT CHANGE OF GENERAL MANAGER AND RE-DESIGNATION OF DIRECTOR CHANGE OF GENERAL MANAGER The board of directors (the Board ) of Datang Environment Industry Group Co., Ltd.* (the Company ) announces that Mr. Deng Xiandong has resigned as the general manager of the Company, with effect from

22 March 2019, due to work rearrangement. Mr. Deng Xiandong has confirmed that he has no disagreement with the Board and, there is no other matter in relation to his resignation as the general manager that needs to be brought to the attention of the shareholders of the Company. The Company and the Board would like to take this opportunity to express its sincere gratitude to Mr. Deng Xiandong for his contribution to the Company during his tenure as the general manager of the Company. The Board is pleased to announce that, it has resolved to appoint Mr. Hou Guoli as the general manager of the Company, for a term of three years from

22 March 2019. Pursuant to the Articles of Association of the Company (the Articles ), Mr. Hou Guoli will be subject to re-election and reappointment upon the expiry of his term of office. The remuneration of Mr. Hou Guoli as the general manager of the Company will be determined according to his terms of reference and taking into account his duties and responsibilities in the Company. 2 C The biographical details of Mr. Hou Guoli are set out as follows: Mr. Hou Guoli, aged 56, served as the general manager and deputy secretary of the Communist Party Committee of the Company since March 2019. Mr. Hou Guoli possessed over

30 years of work experience in the power industry and used to be responsible for the business operation and management of various electric power enterprises. Before joining the Company, Mr. Hou Guoli successively worked as a specialized technician, deputy director and director of the biotechnology division in the Liangzihe Power Plant (亮子河发电厂)from August

1984 to April 1993. He served successively as the deputy chief engineer, chief engineer, deputy plant manager and plant manager in Jiamusi No.

2 Power Plant (佳木斯第二发电厂) from April

1993 to July 1997. He served successively as the secretary of the Communist Party Committee and general manager of Qitaihe No.1 Power Generation Co., Ltd. ( 七台河第一发电有限责任公司) from July

1997 to August 2004. He served as the deputy director of production safety department of China Datang from August

2004 to April 2008. He worked for Datang Shaanxi Power Generation Co., Ltd. (大唐陕西发电有限公司)from April

2008 to July 2013, serving successively as the secretary of the Communist Party committee and general manager, and the general manager and deputy secretary of the Communist Party Committee. From July

2013 to December 2016, he served successively as the general manager and secretary of the Communist Party Committee, and the general manager and deputy secretary of the Communist Party Committee in China Datang Corporation Ltd. Hunan Branch ( 中国大唐集团湖南分公司) and Datang Huayin Electric Power Co., Ltd. (大唐华银电力股份有限公司) . From December

2016 to March 2019, he served successively as the general manager and deputy secretary of the Communist Party Committee, and chairman and secretary of the Communist Party Committee in China Datang Overseas Investment Co., Ltd. ( 中国大唐集团海外投资有限公司). Mr. Hou Guoli graduated from Power Engineering Department of Northeast Electric Power University (东北电力学院) and obtained the Bachelor of Engineering in thermal power engineering for power plants in July 1984. Mr. Hou Guoli received special governmental allowance granted by State Council of People'

s Republic of China in December 2016. He was accredited as a professor-level senior engineer by the assessment centre for talents of China Datang Corporation Ltd. ( 中国大唐集团有限公司) in January 2018. As at the date of this announcement, save as disclosed above, Mr. Hou Guoli confirmed that (i) he has no relationship with any other directors, supervisors, senior management, substantial shareholders or controlling shareholders of the Company;

(ii) he does not hold any other positions within the Company or other members of the Company and its subsidiaries;

(iii) he did not hold any directorship of any other public companies the securities of which are listed on any securities market in Hong Kong or overseas in the last three years;

(iv) he has no interest or deemed interest in any share or underlying share of the Company or its associated corporations within the meaning of Part XV of the Securities and Futures Ordinance (Chapter

571 of the Laws of Hong Kong);

and (v) there are no other matters relating to his appointment that need to be brought to the attention of the shareholders of the Company or the Stock Exchange or to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules. C

3 C The Company and the Board would like to take this opportunity to express their welcome to Mr. Hou in joining the Company. RE-DESIGNATION OF DIRECTOR The Board announces that Mr. Deng Xiandong, an executive director of the Company, has been re-designated as a non-executive director of the Company, with effect from

22 March

2019 due to adjustment of work position and will end on the expiration of the term of the current session of the Board. Mr. Deng Xiandong will continue to retain his positions in the Remuneration and Evaluation Committee, Strategy Committee and Investment Committee of the Board. Mr. Deng Xiandong will re-enter into a service contract with the Company after the above-mentioned re-designation. Pursuant to the Articles, Mr. Deng Xiandong will be subject to re-election and reappointment upon the expiry of his term of office. Mr. Deng Xiandong will not receive remuneration from the Company as a non-executive director of the Company.
